1. Acceptance of Terms

By accessing or using verify.doctor (the "Platform"), operated by RxVortex LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

These Terms constitute a legally binding agreement between you and RxVortex LLC. By creating an account, accessing any part of the Platform, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Description of Service

verify.doctor provides the following services:

  • Prescriber Verification: Onboarding verification of healthcare provider credentials, including licenses, DEA registrations, NPI validation, and board certifications.
  • Real-Time License Status: Continuous monitoring and real-time status checks of provider licenses across state licensing boards.
  • License Tracking: Automated tracking of license expirations, renewals, and status changes with proactive notifications.
  • Single Sign-On (SSO): Secure authentication services allowing verified providers to access connected healthcare applications using their verify.doctor identity.

3. Eligibility and Registration

3.1 Provider Accounts

Provider accounts are available to licensed healthcare professionals, including physicians, pharmacists, nurse practitioners, and other prescribers authorized to practice in one or more U.S. states. You represent and warrant that all information you provide during registration is accurate, current, and complete.

3.2 Organizational Accounts

Organizational accounts are available to pharmacies, health systems, clinics, and other healthcare entities. The individual creating an organizational account represents and warrants that they have the authority to bind the organization to these Terms.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials, including your password and any multi-factor authentication methods. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

4. License Verification

4.1 Data Sources

We obtain verification data from state licensing boards, the Federation of State Medical Boards (FSMB), the National Plan and Provider Enumeration System (NPPES), and other authoritative sources. We strive to provide accurate and current information but cannot guarantee the completeness or timeliness of third-party data.

4.2 Onboarding Verification

During onboarding, we perform primary source verification of your credentials. This process may include verification of your medical license, DEA registration, NPI number, board certifications, education, and training history. You authorize us to conduct these verification checks by submitting your information.

4.3 Real-Time Checks

After initial verification, we provide ongoing monitoring of your license status. Real-time checks are performed against available data sources and are subject to the update frequency and availability of those sources.

4.4 Not a Substitute for Independent Verification

The Platform is a tool to assist with credentialing and verification. It is not a substitute for an organization's independent obligation to verify provider credentials in accordance with applicable laws, regulations, and accreditation standards. Organizations using the Platform remain responsible for their own credentialing decisions.

4.5 No Legal or Medical Advice

Nothing on the Platform constitutes legal, medical, or professional advice. The information provided through the Platform is for informational and verification purposes only.

5. SSO and Connected Applications

5.1 Authorization

When you use verify.doctor SSO to connect to a third-party application, you authorize us to share your verified identity and credential status with that application. You can review and manage your connected applications at any time through your account settings.

5.2 Third-Party Responsibility

We are not responsible for the privacy practices, security, or content of third-party applications connected through SSO. Your use of third-party applications is governed by their respective terms of service and privacy policies.

5.3 Revoking Access

You may revoke SSO access to any connected application at any time. Revoking access will prevent the application from receiving further updates about your verification status but will not affect data previously shared with that application.

6. Acceptable Use

You agree not to:

  • Provide false, misleading, or fraudulent information during registration or verification.
  • Use the Platform to impersonate another provider or entity.
  • Attempt to gain unauthorized access to accounts, systems, or data.
  • Interfere with, disrupt, or compromise the security or integrity of the Platform.
  • Use automated tools (bots, scrapers, crawlers) to access the Platform without our prior written consent.
  • Use the Platform for any purpose that violates applicable laws or regulations.
  • Reverse engineer, decompile, or disassemble any aspect of the Platform.

7. Intellectual Property

The Platform, including all content, features, functionality, software, designs, trademarks, and service marks, is owned by RxVortex LLC and is protected by United States and international intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform without our prior written consent.

You retain ownership of the information you submit to the Platform. By submitting information, you grant us a limited, non-exclusive license to use, process, and store that information as necessary to provide the services described in these Terms.

8. Fees and Payment

Certain features of the Platform may require payment of fees. Applicable fees, billing terms, and payment methods will be presented to you before you incur any charges. All fees are non-refundable except as expressly stated in a separate agreement or as required by law.

We reserve the right to change our fees upon at least 30 days' prior notice. Continued use of paid features after the effective date of a fee change constitutes your acceptance of the new fees.

9. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY INFORMATION PROVIDED THROUGH THE PLATFORM, INCLUDING VERIFICATION DATA OBTAINED FROM THIRD-PARTY SOURCES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RXVORTEX LLC, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

11. Indemnification

You agree to indemnify, defend, and hold harmless RxVortex LLC and its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any information you submit to the Platform that is inaccurate, misleading, or fraudulent.

12. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Platform ceases immediately. Sections that by their nature should survive termination (including Disclaimers, Limitation of Liability, Indemnification, and Governing Law) shall survive.

Upon termination, we will retain your data in accordance with our data retention policy as described in our Privacy Policy, unless you request deletion and no legal obligation requires us to retain it.

13. HIPAA

13.1 United States Only

The Platform is designed for use within the United States and is intended to comply with applicable U.S. healthcare regulations, including HIPAA where applicable.

13.2 Business Associate Agreements

Where the Platform processes protected health information (PHI) on behalf of a covered entity, RxVortex LLC will enter into a Business Associate Agreement (BAA) as required by HIPAA. The BAA will govern our obligations regarding the use and protection of PHI.

13.3 Organizational Compliance

Organizations using the Platform are responsible for ensuring their own HIPAA compliance, including but not limited to implementing appropriate administrative, physical, and technical safeguards. Use of the Platform does not relieve any organization of its independent HIPAA obligations.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Austin, Texas. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

15. Changes to These Terms

We may modify these Terms at any time. For material changes, we will provide at least 14 days' notice before the changes take effect, via email notification or a prominent notice on the Platform. Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes.

16. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and RxVortex LLC regarding the Platform and supersede all prior agreements and understandings.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Assignment: You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
